The St. James' Vestry consists of the clergy and up to 12 elected, adult parishioners in good standing who perform the duties prescribed in the Canons of the Protestant Episcopal Church in the Diocese of Virginia, including transacting the business affairs of the church, overseeing the operation and maintenance of the church property, ensuring the church is duly prepared for every occasion of public worship, and ensuring the employees of the church properly perform their duties.
Vestry members are elected during a Congregational Meeting in the fall. If a vacancy occurs during the interval between elections, the Vestry may elect a qualified parishioner to fill the vacancy until the next election. Vestry candidates are nominated by a nominating committee or nominated by a parishioner during the Congregational Meeting.
The Vestry elects a Senior and (usually) a Junior Warden, who continue in their positions until their successors are elected and qualified. The Vestry meets monthly and also conducts additional meetings, as required.
